Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Borrower," "Attorney," or "Subscriber") and Nova Satus LLC ("Company," "we," "us," or "our"), a limited liability company organized under the laws of the Commonwealth of Virginia. By accessing or using the Nova Satus web application, software, APIs, borrower evaluation wizards, law firm portals, or associated services (collectively, the "Platform"), you agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

Nova Satus provides automated self-service software tools designed to:

• Parse official Federal Student Aid (FSA) MyStudentData.txt history files;
• Model federal repayment plans under published Department of Education regulations (including SAVE, IBR, PAYE, and ICR);
• Evaluate eligibility tracking for Public Service Loan Forgiveness (PSLF) and Teacher Loan Forgiveness;
• Pre-populate official OMB-approved application forms for consolidation and income-driven repayment;
• Generate court-admissible financial payment ledgers and attestation exhibits for use by attorneys in 11 U.S.C. § 523(a)(8) adversary proceedings; and
• Facilitate certified electronic digital transmission (e-Fax) to designated loan servicer toll-free intake destinations.

3. Independent Technology Provider • No Government Affiliation

Nova Satus LLC is a private, independent commercial technology company. Nova Satus is NOT affiliated with, sponsored by, endorsed by, or operated by the United States Department of Education, Federal Student Aid (FSA), or any federal loan servicer (including Aidvantage, MOHELA, Nelnet, Edfinancial, or ECSI). Official federal student loan forms, consolidation applications, and IDR enrollments can always be completed directly through StudentAid.gov free of charge. Nova Satus charges strictly for proprietary data parsing, multi-plan mathematical modeling, court-evidentiary compilation, and certified electronic routing.

4. Calculation Estimates • No Guarantees of Discharge

All mathematical calculations, projected monthly payments, PSLF qualifying payment counts, and bankruptcy undue hardship probability evaluations provided by the Platform are automated estimates based on published formulas and user-supplied data. Nova Satus makes no guarantee, warranty, or representation that:

• Any federal loan servicer or the Department of Education will accept or approve an application;
• Any bankruptcy court or bankruptcy judge will find "undue hardship" under 11 U.S.C. § 523(a)(8) or grant a discharge; or
• Federal student loan regulations, poverty guidelines, or repayment programs will not change during your repayment period.

5. Law Firm & Attorney Subscriber Responsibilities

For law firms, attorneys, and legal clinics utilizing the Law Firm Pro Suite:

• Independent Legal Judgment: The attorney subscriber retains sole professional responsibility for reviewing, verifying, and validating all court exhibits, Brunner payment ledgers, and attestation forms prior to filing with any court or CM/ECF system.
• Credential Locking: Subscribing attorneys agree that court-formatted exhibits lock the registered attorney’s name and state bar number. Users on the Solo tier ($149/mo) may not share credentials with non-firm third parties. Medium firm subscribers ($399/mo) may authorize up to 5 licensed attorneys or staff within their firm entity.
• Ethical Compliance: Attorneys agree to comply with all applicable Rules of Professional Conduct (including rules regarding competence, client communication, and technology oversight).

6. Certified Electronic Filing (e-Fax) Terms

Users who select the 1-Click Certified e-Fax submission option ($10.00 paywall fee) acknowledge and agree that:

• Nova Satus transmits documents via high-speed digital telephony carriers to published toll-free servicer receiving faxes;
• The generated Certificate of Transmission and Proof of Timely Filing PDF serves as a timestamped evidentiary audit record of the transmission attempt;
• Servicer document intake, backlog, and review times are solely within the control of the servicer; and
• Free alternatives—including Free Servicer Web Upload and Free Print & Mail—are always provided and remain accessible.

7. Pricing, Billing, and Subscriptions

Fee Schedule:

• Individual Borrower Evaluation: $49.00 one-time fee per completed evaluation.
• Law Firm Pay-As-You-Go: $49.00 per client case upload.
• Solo Law Firm Subscription: $149.00 billed monthly (includes 5 client cases per month; subsequent cases billed at $19.00 each).
• Medium Firm Subscription: $399.00 billed monthly (includes up to 5 team users).
• Certified e-Fax Filing: $10.00 transmission fee per submitted package.

Subscription Cancellation: You may cancel recurring law firm subscriptions at any time through your account settings or Stripe customer portal. Cancellation takes effect at the end of the then-current monthly billing period. Because digital evaluation reports and electronic fax transmissions are delivered immediately, one-time fees and delivered transmissions are non-refundable once executed, except where required by law.

8. Intellectual Property & Trademarks

The Nova Satus platform, software code, logos, visual designs, calculation algorithms, report templates, and trade dress are the exclusive property of Nova Satus LLC. Nova Satus™ is a common-law trademark of Nova Satus LLC. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Platform solely for its intended purpose. You may not reverse engineer, decompile, scrape, copy, or redistribute any component of the Platform.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE NOVA SATUS PLATFORM AND ALL GENERATED MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

10. Limitation of Liability

IN NO EVENT SHALL NOVA SATUS LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF NOVA SATUS LLC EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00) OR THE TOTAL FEES PAID BY YOU TO NOVA SATUS LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Governing Law & Mandatory Binding Arbitration

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without giving effect to any principles of conflicts of law. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by mandatory, binding individual arbitration administered by the American Arbitration Association (AAA) in the Commonwealth of Virginia. You and Nova Satus LLC agree that each party may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
